Terms & Conditions of Use

Service Description

Leakline is a digital platform providing operational intelligence in a Software as a Service (SaaS) model for businesses seeking to optimize their operations and detect financial leaks. Services include, but are not limited to:

• Detection and analysis of financial leaks based on inventory data.
• Reports on potential losses and revenue at risk.
• Communication automation via WhatsApp Business API based on business requirements.
• Task management and operational tracking for the client's team.
• Multi-agent management panel for customer service.
• Artificial intelligence as an auxiliary feature for query classification and processing.
• Connections to third-party platforms and systems.

Terms of Use

The User is granted a limited, non-exclusive, non-transferable license to use the service, subject to compliance with these Terms. Leakline reserves the right to modify features or plan pricing at any time, providing the User with reasonable advance notice.

Plans & Payments

• Payment method: monthly or annual, charged through the payment methods enabled on the platform.
• Currency: USD (US dollars).
• Trial period: Leakline may offer free trial periods at its discretion. Once ended, the selected plan will be charged automatically.

In the event of non-payment, Leakline may suspend or cancel the User's access to the service without any liability.

Cancellations & Termination

Access to the service is governed by the contract signed between the parties. The conditions for cancellation, early termination, and their effects are defined in that contract. Leakline may suspend or terminate the User's access for:

• Breach of these Terms.
• Fraudulent or illegal activity.
• Abusive use or use that affects service performance.

Upon any termination, the User will have access to their data during a grace period to export it in a standard format.

Availability & Support

Leakline is hosted on high-availability cloud servers; however, it does not guarantee 100% uptime. Periodic maintenance will be performed with prior notice when possible. Technical support is provided via email during defined hours at no additional cost.

User Responsibilities

The User agrees to:

• Provide accurate information and keep it up to date.
• Not use the service for illegal, fraudulent, or abusive purposes.
• Not share credentials or transfer their account to third parties without express authorization.
• Obtain consent from their contacts before sending them communications through the platform, in accordance with Meta's WhatsApp Business Platform policies and applicable law.
• Not use Leakline reports or analyses as a substitute for professional financial, accounting, or legal advice.

Leakline is not responsible for losses resulting from misuse of the platform by the User or their collaborators.

Limitation of Liability

Leakline provides the service "as is", without guarantees of absolute availability, specific results, or compatibility with the User's hardware or software.

Leakline shall not be liable for data loss, lost profits, business interruption, suspension of WhatsApp accounts by Meta, or indirect damages, except in cases of proven fraud or negligence.

Data Protection & Privacy

The processing of personal data is governed by applicable personal data protection legislation and the Privacy Policy published at vyraxis.io/privacy. Client data is the exclusive property of the Client. Leakline uses it solely to provide the service and may use anonymized and aggregated statistical patterns for continuous platform improvement.

Intellectual Property

All content, code, trademarks, design, interface, and documentation are the property of Vyraxis SRL or its licensors, protected by applicable intellectual property laws. The User does not acquire any ownership rights, only a limited license to use the service while holding an active subscription.

Modifications to Terms

Leakline may modify these Terms at any time, notifying the User through digital means with reasonable advance notice. Continued use of the service will be interpreted as acceptance of the changes.

Governing Law & Jurisdiction

For all matters relating to the interpretation and enforcement of these Terms, the parties submit to the laws of the Republic of Costa Rica and the jurisdiction of its competent courts.

Acceptance

By creating an account or using the Leakline service, the User declares that they have read, understood, and expressly accepted these Terms and agrees to be bound by them.
